Vacancies on the Board of Directors

Freemasons Foundation Victoria Limited (FFV) is inviting expressions of interest from Brethren who believe that they can make a worthwhile contribution to the philanthropic activities of Freemasons in Victoria in the role of Director.


FFV is a public company limited by guarantee, and the trustee for both The Freemasons Public Charitable Foundation (FPCF) and Freemasons Benevolent Fund (FBF).


FFV’s principal purpose is to undertake philanthropic activities in Victoria, which you can find out more about on the pages of this website.


The Annual General Meeting of FFV will be held in November 2022, at which Director appointments will be confirmed.


Applications, providing details of relevant experience and qualifications, should be emailed to the Company Secretary before 30 September 2022.


Additional Information

This is a voluntary position and carriers no stipend. Out-of-pocket expenses whilst on official business will be reimbursed.


Board meetings are held 6 times a year, in addition you will need to make yourself available to attend Lodges and/or functions.


Key responsibilities include:

  • Review and approve the strategies, plans and policies of the Foundation

  • Ensure the adequacy and efficiency of internal controls and reporting systems

  • Act at all times in accordance with the Constitution of FFV and Trust Deeds of FPCF and FBF

  • Comply with the minimum governance standards set by the Australian Charities and Not-for-profits Commission (ACNC)

    • To act with reasonable care and diligence.

    • To act in good faith in the best interest of the organisation and for proper purpose.

    • Not to improperly use information or position.

    • To disclose conflicts of interest.

    • To ensure that financial affairs are managed responsibly.

Knowing and carrying out your duties as a Board member will help the organisation to achieve its charitable purpose and protect its resources against misuse. You can find more information about your duties as a Director on the ACNC’s website or from the Company Secretary.
